ATTENTION: Please read this statement carefully before using Solar Wholesale Products, Inc. or its internet website known as http://www.solarwholesaleproducts.com/ (hereinafter “Solar Wholesale Products").  If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

 

CLICKING THE REGISTRATION BUTTON.

By using the website and clicking the “Registration/Submit Button” on the Registration form, you acknowledge your acceptance of the terms and conditions of this Agreement. By affirmatively clicking the “Registration/Submit Button”, you are simultaneously:

 

·         Registering as a registered user of Solar Wholesale Products;

·         Designating your company;

·         Making certain representations and warranties, as further described in terms and service, and

·         Agreeing to the terms and conditions of Solar Wholesale Products.

TERMS AND CONDITIONS.

These Terms and Conditions apply to all interactions between Solar Wholesale Products, and you (hereinafter “Customer”) including, but not limited to: verbal or written advice specifications or drawings, requests for price quotes, purchases initiated by cash, check, money order, credit or debit card, or wire transfer. Price, specifications, and terms of the products listed on the website are subject to change without notice. Solar Wholesale Products is not responsible for errors in typography and/or photography. All parts come with original manufacturer warranty and the respective manufacturers handle technical support. Customer pays return shipping on all products. Solar Wholesale Products reserves the right to refuse service to anyone.

 

Solar Wholesale Products accepts the following Payment Methods:

4.      Prepaid Company Check, Personal Check, Cashier Check or Money Order;

(Note: All Prepaid Orders will take longer to process because all checks must be cleared, including Cashier's Checks, due to the existence of fraudulent checks. Allow 7 to 10 business days.)

6.      Purchase Orders Government entities;

7.      No COD orders please.

 

GENERAL TERMS AND CONDITIONS:

 

Solar Wholesale Products Purchase Agreement.

By accepting delivery of any product delivered from Solar Wholesale Products Customer agrees that the following terms and conditions are the exclusive terms governing the sales transaction between Customer and Solar Wholesale Products. These terms and conditions are subject to change at any time, without prior written notice.  Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from Solar Wholesale Products.

 

Use License.

a.       Permission is granted to temporarily download one copy of the materials on this website for personal, non-commercial transitory viewing only. Customer may not:

              i.      Alter, supplement or amend the materials;

            ii.      Modify or copy the materials;

          iii.      Use the materials for any commercial purpose, or for any public display;

          iv.      Remove any copyright or other proprietary notations from the materials; or

            v.      Transfer to another person or "mirror" the materials on another server.

 

This license shall automatically terminate if the Customer violates any of these restrictions and may be terminated by Solar Wholesale Products at any time.

 

Payment Terms on Orders.

An order is not binding upon Solar Wholesale Products until it is accepted. Solar Wholesale Products must receive payment before it will accept an order unless otherwise previously agreed in writing. Payment for product(s) ordered is due prior to shipment. Customer can make payment by credit card or some other method prearranged with Solar Wholesale Products.

 

Shipping Charges/State Taxes.

It is understood and agreed by the Customer’s will that total cost for purchase of any product does not  include shipping and handling charges, as well as applicable state sales tax, has to be paid separately in addition to the product price.

 

Processing Time.

Customer can expect his order to be processed within two (2) business days. Solar Wholesale Products aims to ship Customer order within three (3) days of order placement unless otherwise communicated.

 

If you need an item by a certain date, please check with our sales person regarding availability of the item and shipping options. All shipping dates are to be considered approximate, and under no circumstances will Solar Wholesale Products be held liable for reasonable delays in delivery caused by delayed shipping, in-transit delays, or shipping damages.

 

Back Orders.

Any items that are unavailable will be placed on back order and a sales representative will call you. However, the remainder of your order will be shipped. Estimated ship dates will be provided; however, please note that these dates are "estimates" and not guaranteed to arrive on that date.

 

Order Status.

Solar Wholesale Products will do everything possible to keep the Customer informed of his order via e-mail. Customer’s tracking number will be emailed to him once the item is shipped.

 

Change Orders.

Customer may change the order, provided that the order has not yet been processed and shipped. If items have already shipped, the normal restock fee of 15% will apply. Please contact our sales person directly with any changes to be made and please have your order number available.

 

Shipping Policy.

Solar Wholesale Products and Solar Wholesale Products vendors carefully inspect all shipments/ merchandise carefully to prevent damage during shipments. Customers must inspect their shipments upon delivery, prior to signing the release. Customers will not be signing for their order when it is delivered, are responsible to see that the person signing has read and understands Solar Wholesale Products Terms and Conditions.

   

 All orders will be shipped via the most economical method chosen by Solar Wholesale Products. An independent shipping contractor such as UPS, FedEx or a commercial trucking company will deliver the order, except in cases of oversized merchandise, unless otherwise specified by the Customer. Shipping and Handling is non-refundable. Customer is responsible for shipping and handling charges, as well as any charges incurred by the carriers. Customer is responsible for all re-delivery charges that may occur when Customer misses scheduled delivery appointment. All international customers are responsible for their own customs clearance, duties, taxes, brokerage, etc. Solar Wholesale Products will not be responsible for any international customs clearance, duties, taxes, brokerage, etc. Some trucking companies may require brokerage services. Solar Wholesale Products is not responsible for any brokerage services what so ever. All products are sold brand new; Solar Wholesale Products is not responsible for any damage due to the shipping. All packages sent will have a signature required service on them. When the shipment arrives, the driver will ask the Customer to sign the Product Delivery Confirmation Note (Delivery Receipt). This is a legal document stating that the package is being delivered in good condition without damage and that the Customer is waiving any additional claim from the shipper. Any product picked up should be inspected before signing the delivery receipt. Once Customer has signed the Product Delivery Confirmation Note (delivery receipt), Solar Wholesale Products assume Customer has received and inspected the merchandise to be in brand new and acceptable condition. Before signing, inspect the package(s) closely on all six sides. Note any box damage, including scuffs, dents, tears, punctures or creases, on the delivery receipt. If there is anything unusual with the package, the customer has the right to open it to inspect the contents. If the driver is unwilling to wait while the Customer inspects all of the items, Customer may mark on the delivery receipt "Concealed Damage Possible".

 

Any damage during shipment is the responsibility of the carrier; therefore the Customer must make all damage claims directly to the carrier. In case of damage retain all cartons, packing materials and damaged merchandise for the carrier to inspect. Shipment must not be refused or returned without making an appropriate remarkon the Product Delivery Confirmation Note (Delivery Receipt). Not making a proper remark on the delivery receipt will extinguish the right to make damage claim.Refusal of shipment will double your freight cost. The Terms and Conditions of this sale means ownership of the goods in this shipment has transferred to you when picked-up by carrier.

 

UPON ARRIVAL OF YOUR FREIGHT SHIPMENT:

·         Inspect the condition of the shipment: 

Count the number of pallets and cartons. Make sure your count on the enclosed packing list matches the count on the delivery receipt.

 

·         Look for any damage to the packaging. Damage to the packaging includes:

o    Broken pallets;

o    Shrink wrap that is falling off, missing, slightly torn, dirty or has holes; 

o    Cardboard with tiny crinkles, dents or tears; 
o    Missing or crushed "no stack" cones; 
o    Inspect underneath any packaging with damage, no matter how slight the damage; 
o    When in doubt, sign the delivery receipt noting possible damage. 

 

CUSTOMER IS LIABLE FOR ANY DAMAGE TO THE PACKAGING OR PRODUCTS NOT NOTED AT THE TIME OF RECEIPT. DO NOT SIGN THE DELIVERY RECEIPT UNTIL YOU HAVE DETERMINED YOUR SHIPMENT IS COMPLETE AND FREE OF SHIPPING DAMAGE.

 

SIGN THE DELIVERY RECEIPT:

Free and Clear 

•    Pallet (skid) count is correct 

•    Packaging in excellent condition

•    Products in excellent condition

 

Short 

•    Pallet (skid) count is not correct 

•    The number of pallets you receive does not match the number on the delivery receipt. Mark shortage on the delivery receipt with the description of what is missing. You will find your packing slip attached to the freight shipment for reference.

•    Shrink wrap shows signs of being torn, replaced or is missing

 

Damaged 

•    The packaging is not in excellent condition (include description) 

•    No Stack Cone is missing or crushed 

•    Product(s) not in excellent condition (include description) 

•    Check the bottom panel on each pallet for damage (the most common area of damage) 

•    Photograph damage 

 

 

Visible Damage or Short Procedure: 

1.      Note discrepancies (overage, shortage or damage) on delivery receipt and unload shipment. The fact that goods are damaged during transportation does not justify refusal to accept them. Have the driver and your representative who receives, inspects and signs the delivery receipt/bill of Product Delivery Confirmation Note (Delivery Receipt) the damage. If driver refuses to sign the receipt, make note of driver’s name and refusal on delivery receipt.

2.      Request a carrier freight inspection

3.      IMMEDIATELY FILE YOUR CLAIM WITH THE CARRIER OR FORWARD THE FOLLOWING INFORMATION TO DC POWER: 

•    Signed delivery receipt showing the discrepancy noted 

•    Copy of packing list 

•    Copy of invoice 

•    Photographs of damage. 

 

4.      Call your our sales representative or someone in our Customer Service department and place a new order;

5.      You are responsible for payment of the original invoice if the carrier denies your claim. 

 

Concealed Damage Procedure:

If there is damage to the shipment, then Customer must refuse the package and contact Solar Wholesale Products immediately. Solar Wholesale Products must be notified of any damage on any shipment within fourteen (14) days of receipt. Solar Wholesale Products cannot guarantee replacement at no cost to the recipient when notified of damage after fourteen (14) days of receipt. If the damage is apparent upon receipt, accept the merchandise and notate the damage and irregularities (such as crushed, torn, or broken packing) on the freight bill and have the driver sign it as verification. If the damage is not readily apparent at the time of arrival (where the box is intact but the merchandise inside is damaged is considered a concealed damage), then it must be reported to the shipping company within 24 working hours after receipt of shipment. After carrier has inspected the damaged merchandise, the carrier will determine whether to pay for repair cost or replacement value of the damaged goods. Replacement value is not negotiable. It is the amount that Customer paid for the product only. Solar Wholesale Products is not responsible for any repair cost. Repair cost is an arbitrary amount, which can be negotiated with the carrier. Damage may occur during transporting of goods. Therefore, all parts must be inspected before the driver leaves or else claims can be denied by the shipping company. All disputes as to settlements or related to settlements should be addressed to the shipping company. Solar Wholesale Products under no circumstances shall be liable for the damage merchandise or for any subsequent settlement of any claim with the shipping company. A signed receipt without any notation indemnifies Solar Wholesale Products from any further damage claim. Discovery of damages after a cleared delivery becomes the responsibility of the Customer. For buyer fraud prevention purposes, Solar Wholesale Products will not reroute any package to a different address if requested by the customer. All shipments must be delivered to the address stated by the customer for the delivery purposes .

 

 

Cancellation Policy.

To cancel your order, please call during our normal business hours and speak with our sales representative or someone in our Customer Service department. Provided your order has not yet been processed, and your credit card has not been charged, there is no fee. If your order has already been processed and your card was charged, there is a 5% cancellation fee deducted from your refund. If any portion of your order has shipped, a 15% restocking fee will be deducted from your refund. The refund will occur within 48 hours of the receipt of the cancellation or the return of all products that have shipped.

 

Return Policy.

Merchandise purchased through Solar Wholesale Products may be returned within fourteen (14) days of the receipt of the purchase of the product except the product is not damaged to be determined by the Company. You will receive a refund or credit towards your account, provided the merchandise is returned in the original packaging in new and resalable condition with the original blank warranty cards, manuals, and all accessories. If any component of the returned product is missing, the return procedure is breached and Solar Wholesale Products may reject the return or may choose to impose additional charges for replacement of the missing component. A 15% restocking fee will be charged for all returns.  Shipping charges are not refundable unless Solar Wholesale Products made an error. The Customer shall be responsible for the return of any unused product and agrees to use only reputable carriers capable of providing proof of delivery and insurance for the value of the shipment.

 

Warranty Policy.

Solar Wholesale Products is a distributor only. Products sold by Solar Wholesale Products are not manufactured by Solar Wholesale Products; therefore we do not warranty any of the products we sell. Most items that Solar Wholesale Products sell are covered by the original manufacturer's warranty, service, or support policy (if any). In the event that there is a technical problem that occurs with your product, upon receipt or installation of your product, we urge you to contact the manufacturer directly.

 

Solar Wholesale Products bears no responsibility in sending a replacement item to the Customer in the event that they have received a defective product. If the Customer receive a defective unit, contact the manufacturer and they will typically repair or replace the product.

Solar Wholesale Products product descriptions are not designed or intended to replace your personal product knowledge, experience and/or research or that of a professional installer or licensed electrician.

 

Solar Wholesale Products strives to be as accurate as possible in our product descriptions, compatibility references, information content, pricing, links and any other product information contained in or referenced on our site. However, occasional human error may occur and we therefore cannot guarantee that all product descriptions, specifications, pricing or any other content on the site is entirely accurate, complete, current, or that we are responsible for these errors. In the event that a product is listed at an incorrect price due to typographical, informational, technical or any other error, Solar Wholesale Products at its sole discretion shall have the right to refuse or cancel any order for that product and immediately amend, correct or remove the inaccurate information. Solar Wholesale Products respects Customer’s privacy. We will not under any circumstances sell or release your information to anyone. All of the information obtained from our web site will be used for internal purposes only and never shared or sold.

 

LIMITATION OF LIABILITY.

IN ALL CIRCUMSTANCES, SOLAR WHOLESALE PRODUCTS MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCTS SOLD. SOLAR WHOLESALE PRODUCTS SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE PRODUCTS IT SELLS WHICH EXCEEDS THIS LIABILITY LIMIT. SOLAR WHOLESALE PRODUCTS SHALL NOT BE LIABLE FOR THIRD PARTY CLAIMS FOR DAMAGES AGAINST THE CUSTOMER, OR FOR MALFUNCTION, DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, LOSS OR DAMAGE TO EXEMPLARY DAMAGES, WHETHER OR NOT SOLAR WHOLESALE PRODUCTS IS APPRISED OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.

 

Title & Risk of Loss.

Solar Wholesale Products will arrange for shipment of ordered product(s) to the Customer, Free On Board (F.O.B.) shipping point, meaning title to the product(s) and risk of loss passes to the Customer upon delivery to the carrier. Solar Wholesale Products reserves a purchase money security interest in the product(s) until its receipt of the full amount due. Customer agrees to allow Solar Wholesale Products to sign appropriate documents on Customer's behalf to permit Solar Wholesale Products to protect its purchase money security interest. Solar Wholesale Products will advise Customer of estimated shipping dates, but Solar Wholesale Products will, under no circumstances, be responsible for delays in delivery, and associated damages, due to events beyond its reasonable control, including without limitation, acts of God or public enemy, acts of federal, state or local government, fire, floods, civil disobedience, strikes, lockouts, and freight embargoes.

 

Governing Law and Jurisdiction.

Any dispute arising out of or related to these Terms and Conditions or the sales transaction between Solar Wholesale Products and Customer shall be governed by the laws of the State of Connecticut, without regard to its conflicts of law rules. Specifically, the United Nations Convention on the International Sale of Goods shall not govern the validity, interpretation, and performance of this agreement. Solar Wholesale Products and Customer consent to the exclusive jurisdiction and the venue of the State Courts of the State of Connecticut, to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, the Customer also agrees not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against Solar Wholesale Products that is more than one year after the date of the applicable invoice.

 

Severability.

If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable Connecticut law.

 

Waiver.

The failure of either party to require performance by the other party of any provision of this agreement shall not affect in any way the first party's right to require such performance at any time thereafter. Any waiver by either party of a breach of any provision in this agreement shall not be taken or held by the other party to be a continuing waiver of that provision unless such waiver is made in writing.

 

 

Entire Agreement.

These terms and conditions, together with Solar Wholesale Products invoice respecting the products ordered by Customer, are the complete and exclusive agreement between Solar Wholesale Products and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between Solar Wholesale Products and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
